Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Caliber Field Systems, Inc., a Delaware corporation ("Caliber," "we," "us," or "our"), governing your access to and use of the Caliber field service management platform, including the web application at app.trycaliber.app, the Caliber mobile application, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a business, you represent and warrant that you have authority to bind that business to these Terms.

If you do not agree to these Terms, do not use the Service.

Caliber is a cloud-based field service management (FSM) platform designed for home service contractors, including HVAC, plumbing, electrical, roofing, and pest control businesses. The Service includes:

• Job creation, dispatching, and status tracking
• Technician scheduling and mobile job management
• Estimate building with Good/Better/Best (GBB) pricing tiers
• Customer proposal generation and e-signature collection
• Pricebook management with gross profit margin (GPM) controls
• Invoice generation and payment collection via Stripe
• AI-powered workflow tools including the APEX Daily Huddle feature
• Business dashboard and reporting

3.1 Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use the Service. The Service is intended for business use by home service contractors and their employees.

3.2 Account Creation

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at hello@trycaliber.app if you suspect unauthorized access to your account.

3.3 Company Accounts

Each account is associated with a single business entity ("Company"). The owner who creates the account is the account administrator and is responsible for all users ("Technicians," "Employees") invited to the Company account. You are responsible for ensuring all users comply with these Terms.

4.1 Subscription Tiers

The Service is offered on a monthly subscription basis. Current plans are:

• Starter — $149/month: up to 5 technicians, core FSM features
• Growth — $249/month: up to 15 technicians, APEX AI features, priority support
• Pro — $399/month: unlimited technicians, full AI suite, dedicated support

Plan features and pricing are subject to change with 30 days' notice to active subscribers.

4.2 Billing

Subscriptions are billed monthly in advance. Payment is processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel. All fees are in U.S. dollars.

4.3 Free Trial

We may offer a free trial period at our discretion. At the end of the trial, you must subscribe to continue using the Service. We reserve the right to limit trial features or duration.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through the billing portal in your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months or unused service periods.

4.5 Payment Collection for Your Customers

The Service includes the ability to collect payments from your end customers (homeowners) through Stripe Connect. By enabling this feature, you agree to Stripe's Connected Account Agreement. Caliber charges a 2% platform fee on all payments collected through the Service. You are solely responsible for your pricing, taxes, refunds, and disputes with your customers.

You agree to use the Service only for lawful business purposes. You may not:

• Use the Service to violate any applicable law or regulation
• Attempt to gain unauthorized access to any part of the Service or another user's account
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Resell, sublicense, or otherwise commercialize access to the Service
• Upload or transmit malicious code, viruses, or harmful content
• Use the Service to send unsolicited communications (spam)
• Misrepresent your identity or affiliation
• Interfere with or disrupt the integrity or performance of the Service

6.1 Your Data

You retain ownership of all data you submit to the Service ("Customer Data"), including customer records, job information, photos, estimates, invoices, and pricebook content. We do not claim ownership of your Customer Data.

6.2 Our Use of Your Data

We use your Customer Data solely to provide and improve the Service. We do not sell your Customer Data to third parties. Our full data practices are described in our Privacy Policy at trycaliber.app/privacy.

6.3 Data Security

We implement industry-standard security measures including encryption in transit (TLS), encrypted storage, row-level security for multi-tenant data isolation, and regular security reviews. However, no system is completely secure, and we cannot guarantee absolute security of your data.

6.4 Data Retention

We retain your Customer Data for the duration of your subscription and for 90 days following cancellation, during which you may request an export. After 90 days, your data may be permanently deleted.

7.1 Our IP

The Service, including the Caliber platform, APEX AI features, software, design, trademarks, and all related intellectual property, is owned by Caliber Field Systems, Inc. and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

7.2 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription term, solely for your internal business operations.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use that feedback without restriction or compensation.

The Service integrates with third-party services including:

• Stripe — payment processing and subscription billing
• Supabase — database and file storage
• Resend — transactional email delivery
• Anthropic Claude API — AI-powered features

Your use of these integrated services is subject to their respective terms of service. We are not responsible for the availability, accuracy, or conduct of third-party services.

You agree to indemnify, defend, and hold harmless Caliber Field Systems, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your Customer Data; (c) your violation of these Terms; or (d) your violation of any third party's rights.

These Terms remain in effect while you have an active account. We may suspend or terminate your account immediately if you violate these Terms, fail to pay subscription fees, or if we determine your use poses a risk to us or other users. You may terminate your account at any time by cancelling your subscription and contacting us at hello@trycaliber.app.

Upon termination, your right to access the Service ends immediately. Sections 6.4, 7, 9, 10, and 13 survive termination.

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must cancel your subscription before the effective date.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in Delaware. You waive any right to participate in class action lawsuits or class-wide arbitration.
